Who we are
Moxace is a brand name of Miracuves Solutions Private Limited. References to "Moxace", "we", "us", and "the Company" throughout these terms mean Miracuves Solutions Private Limited, which is the contracting entity for every engagement and the operator of moxace.com.
Orders, quotes, invoices, and agreements issued under the Moxace brand are issued by and binding on Miracuves Solutions Private Limited.

Whitelabeling
Whitelabeling the platform does not include configuration of the platform.
Moxace would guide the client and would share all possible training and training material for the client to configure the platform but Moxace would not be responsible to configure the platform, the client would have to complete the configuration himself.

No response situation
In case of no response from the Client’s side for more than 7 days despite reminders from the Company’s side, Company may put the development on hold.
In case of no response from the Client’s side for more than 14 days despite reminders from the Company’s side, the Company may terminate the contract.

Payment terms
The kick-off amount is non-refundable.
18% GST is included on above mentioned cost (in case of Indian clients).

Renewal in case of plan expiry
Post plan expiry, standard cost will be applicable as per the choice made by the client among the then available plans.

Timeline
The timeline to deliver an almost-ready build is 6 to 9 working days. Custom-scope builds run on a timeline agreed in the written quote, typically 3 to 4 weeks depending on depth of customization.
Please note: The timeline is applicable from the date of project kick-off and once all the requirements are shared by the client. Store-review windows operated by Apple and Google sit outside this timeline and are accounted for separately.

Refunds and cancellations
The project kick-off amount is non-refundable because it reserves an engineering team and a delivery slot for your project from a fixed date.
If you cancel before development starts, any amount paid beyond the kick-off amount is refunded within 10 working days of the cancellation request.
Once development has started, refunds are pro-rated against the milestones already delivered and accepted. Completed and accepted milestones, store submissions already filed, and third-party costs already incurred on your behalf (licenses, hosting, store accounts) are not refundable.
A build that fails to match the agreed written scope is not a completed delivery: the gap is fixed at no cost, or the affected milestone value is refunded if we cannot fix it within a reasonable window.
Refunds are issued to the original payment method. Bank or gateway charges are deducted from the refunded amount.

Intellectual property and Source-code ownership
On full and final payment, you own 100% of the delivered source code, designs, and configuration for your build. Moxace retains ownership of its pre-existing frameworks, internal libraries, and tooling, and grants you a perpetual, royalty-free license to use them as embedded in your delivered product.
You own your brand assets, content, data, and customer records. We never reuse client data in other engagements.
Third-party components inside the build (open-source libraries, licensed SDKs) remain under their own licenses; we document them at handover.

Confidentiality
Both parties keep the other's non-public information confidential: business plans, pricing, data, credentials, and unreleased product details. We sign NDAs on request before discovery calls.
Confidentiality survives termination of the engagement.

Warranty and support
Every build carries 60 days of post-launch support covering bug fixes, OS version upgrades, and payment-gateway API changes, plus 1 year of product updates as listed in the package inclusions.
The warranty covers defects against the agreed written scope. It does not cover changes you make to the codebase after handover, third-party service outages, or new features outside the written scope.

Limitation of liability
Moxace's total liability for any claim arising from an engagement is limited to the amount you actually paid Moxace for that engagement.
Neither party is liable to the other for indirect or consequential losses, including lost profits, lost data, or lost business opportunities, except where the law does not permit this limitation.

Governing law and disputes
These terms are governed by the laws of India, and the courts at Mohali, Punjab, have exclusive jurisdiction, unless a signed agreement between the parties states a different governing law.
Before litigation, both parties attempt good-faith resolution for 30 days from a written notice of dispute.

Acceptable use
You may not use Moxace-delivered software to infringe others' rights, distribute unlawful content, run gambling or betting operations where illegal, or operate in regulated verticals without the licenses those verticals require.
Compliance obligations for regulated launches (alcohol, pharmacy, cannabis, finance) sit with the operating entity; our platform code supports the compliance workflows but does not replace your licenses.
